It's easy to overlook the importance of the company secretary. While a company secretary does not have the same range of obligations and duties as a Director, as chief administrative officer, he or she has essential tasks allocated to him or her and may be held accountable if they are not completed effectively. The company secretary is in charge of ensuring that all financial, legal, and regulatory obligations are met. In addition, he must adhere to corporate governance, which ensures the well-being of all firm stakeholders, including shareholders, workers, consumers, suppliers, financiers, the government, and society. The secretary of a company is considered as the Ear, Eyes, and Hands of a Company. A company secretary is required for all public businesses. The role became optional for private businesses in April 2008, as a result of the Companies Act 2006, unless their articles of association expressly demand it.
